1. Acceptance of Terms

By creating an account on EZFormz ("the Service," "the Platform"), you ("User," "you") agree to be bound by these Terms of Use ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Your continued use of EZFormz after any changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to create an account or use EZFormz. By using the Service, you represent and warrant that you meet this age requirement. The Service is not directed to and may not be used by anyone under the age of 18.

3. Nature of the Service

EZFormz is a software tool that enables users to create order forms, collect customer information, and manage orders. EZFormz is not a marketplace, payment processor, retailer, distributor, or financial institution. We do not sell, buy, source, manufacture, store, ship, or handle any products or services listed by users on the Platform.

EZFormz is a provider of an interactive computer service under Section 230 of the Communications Decency Act (47 U.S.C. § 230). We do not create, endorse, verify, guarantee, or assume responsibility for any content, products, services, or transactions posted or facilitated by users of the Platform.

4. Prohibited Items & Activities

You may not use EZFormz to sell, distribute, advertise, promote, or facilitate the sale of any of the following. This applies to all forms, product listings, images, descriptions, and communications conducted through the Platform:

Strictly Prohibited

Illegal drugs, controlled substances, precursor chemicals, or drug paraphernalia
Child sexual abuse material (CSAM) or any sexual content involving minors
Human trafficking, exploitation, or forced labor of any kind
Prostitution, escort services, or sexual services of any nature
Weapons, firearms, ammunition, explosives, or destructive devices
Stolen property, goods obtained by fraud, or fencing of stolen goods
Counterfeit goods, knockoffs, replicas sold as genuine, or trademark-infringing products
Forged or fraudulent documents, fake IDs, or identity documents
Personal or private information of third parties without their consent (doxxing)
Services intended to harass, stalk, threaten, or intimidate any individual
Ponzi schemes, pyramid schemes, multi-level marketing fraud, or other fraudulent financial schemes
Money laundering, terrorist financing, or sanctions evasion
Hacking tools, malware, ransomware, or services designed to compromise computer systems
Endangered species, protected wildlife, or products derived therefrom
Any item, service, or activity that violates any applicable local, state, federal, or international law or regulation

This list is not exhaustive. We reserve the right to determine, at our sole and absolute discretion, whether any content or listing violates the spirit or letter of these Terms, and to take immediate action including account termination without prior notice.

5. User Representations & Warranties

By using EZFormz, you represent and warrant that:

You have the legal right and authority to enter into these Terms
All content you post is lawful, accurate, and does not infringe any third-party rights (including intellectual property, privacy, or publicity rights)
All products and services you list comply with all applicable laws and regulations in your jurisdiction and in the jurisdictions where you conduct business
You will not use the Service for any unlawful, fraudulent, deceptive, or harmful purpose
You are solely responsible for obtaining any required licenses, permits, or regulatory approvals for the products or services you offer
You accept full legal responsibility for all transactions conducted through your forms

6. Enforcement & Termination

We reserve the right, in our sole discretion, to:

Monitor, review, or investigate any content on the Platform (though we are under no obligation to do so)
Remove, disable, or restrict access to any content or form at any time, for any reason, without prior notice
Suspend or permanently terminate any user account without notice or liability
Report any suspected illegal activity to appropriate local, state, federal, or international law enforcement authorities, including providing user information, content, and activity logs
Cooperate fully with law enforcement investigations, court orders, and subpoenas
Preserve account data and activity logs as required by law or as we deem necessary for potential legal proceedings

Account termination for violations of these Terms is permanent and non-appealable. We are under no obligation to provide a reason or prior warning before taking action.

7. Intellectual Property & DMCA

If you believe content on the Platform infringes your intellectual property rights, you may submit a notice using the feedback form on the site. We will respond to valid takedown requests in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) and applicable law. Repeat infringers will have their accounts terminated.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, EZFORMZ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZFORMZ, ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EZFORMZ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO EZFORMZ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless EZFormz, its owners, operators, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

Your use of the Service
Your violation of these Terms
Any content, products, or services you create, list, sell, or distribute through the Platform
Your violation of any applicable law, rule, or regulation
Your infringement of any third-party rights, including intellectual property rights
Any dispute between you and any third party, including your customers

This indemnification obligation will survive termination of your account and these Terms.

11. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, rather than in court, except that either party may seek equitable relief in court for intellectual property infringement. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of Florida. The arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may bring claims in small claims court if eligible.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction of such courts.

13. Privacy & Data

You are responsible for handling customer data collected through your forms in compliance with all applicable privacy laws, including but not limited to the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and any other applicable data protection regulations. EZFormz is a data processor acting on your behalf; you are the data controller for any personal information collected through your forms.

14. No Waiver & Severability

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and EZFormz regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
